These Terms of Service ("Terms") govern access to and use of Unit Memory, including unitmemory.com, app.unitmemory.com, the Unit Memory progressive web app, demos, reports, exports, QR-code features, AI-assisted features, and related services (collectively, the "Service").
By creating an account, requesting a demo, logging in, inviting users, uploading content, or using the Service, you agree to these Terms. If you use the Service on behalf of a company or organization, you represent that you have authority to bind that organization, and "you" includes that organization.
Accounts and Authorized Users
You are responsible for your account, your users, and all activity under your company account. You must provide accurate information, keep credentials secure, promptly remove users who should no longer have access, and notify us of suspected unauthorized access.
Owners and admins control company users and roles. Technicians and other users may submit work history and view information according to permissions configured in the Service.
Customer Data and Paper Trail
"Customer Data" means property, unit, building, asset, vendor, photo, timeline, warranty, note, report, export, and other information submitted to your company account. As between you and Unit Memory, you retain ownership of Customer Data. You grant Unit Memory a limited license to host, process, transmit, display, secure, back up, and use Customer Data as needed to provide and improve the Service, comply with law, prevent abuse, and enforce these Terms.
Unit Memory is designed to preserve a work-history trail. Some records may be deactivated, corrected, or supplemented by addendum rather than permanently erased or overwritten.
Acceptable Use
You may not use the Service to:
- Break the law, infringe rights, or violate contracts.
- Upload malware, harmful code, illegal content, or content you lack authority to use.
- Attempt to access another account, bypass security, scrape, overload, or interfere with the Service.
- Misrepresent work, falsify records, or use the Service for fraudulent activity.
- Store sensitive personal information that is not reasonably needed for property maintenance history, including Social Security numbers, payment card numbers, protected health information, or similarly regulated data unless we have expressly agreed in writing.
- Reverse engineer, copy, resell, sublicense, or commercially exploit the Service except as allowed in a written agreement.
No Professional Advice
Unit Memory is recordkeeping and workflow software. It is not legal, accounting, construction, engineering, code-compliance, safety, insurance, employment, tax, or property-management advice. You remain responsible for inspections, repairs, legal compliance, safety decisions, employee/vendor management, tenant communications, regulatory filings, and professional review.
AI, Voice, QR Codes, and Third-Party Services
AI suggestions, voice-to-text, QR-code generation, email delivery, hosting, and related features may use third-party services. AI suggestions are optional drafts for user review and may be inaccurate, incomplete, or unsuitable. You are responsible for reviewing all output before relying on it. Third-party outages or changes may affect feature availability.
Demos, Trials, Billing, and Taxes
Demos and trials may be limited, changed, suspended, or deleted at any time. Demo data is not guaranteed to be retained. Paid plans, if offered, will be subject to the pricing, billing, renewal, cancellation, and tax terms presented at purchase or in a separate written agreement.
Early-access beta testers. Early-access beta testers are not charged subscription fees during the beta period. Beta access is not a promise of free service forever. If Unit Memory later requires beta users to move to a paid subscription, early-access beta testers may be asked to enroll in a subscription, but their all-access subscription price will not exceed $50 per month unless they separately agree in writing to different terms.
Suspension and Termination
We may suspend or terminate access if we believe you violated these Terms, created risk or liability, failed to pay amounts due, threatened the security or integrity of the Service, or used the Service unlawfully. You may stop using the Service at any time. Certain provisions survive termination, including payment obligations, confidentiality, ownership, disclaimers, limitations of liability, indemnity, dispute terms, and fee-shifting provisions.
Service Changes and Availability
We may modify, add, or remove features. We try to keep the Service reliable, but we do not promise uninterrupted or error-free operation. Maintenance, hosting issues, internet problems, third-party providers, security events, or other factors may affect availability.
Intellectual Property
Unit Memory and its software, design, code, workflows, names, logos, content, documentation, and related materials are owned by Unit Memory or its licensors and are protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
If you provide feedback, suggestions, or ideas, we may use them without restriction or compensation.
Confidentiality
Non-public product, business, technical, pricing, security, and account information disclosed by either party should be treated as confidential and used only for purposes related to the Service, unless the information becomes public through no fault of the receiving party or disclosure is required by law.
Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or reliability.
Limitation of Liability
To the maximum extent permitted by law, Unit Memory will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages; lost profits; lost revenue; lost savings; lost data; business interruption; reputational harm; substitute services; or property, tenant, vendor, repair, or compliance decisions made using the Service.
To the maximum extent permitted by law, Unit Memory's total liability for all claims relating to the Service will not exceed the greater of (a) amounts paid to Unit Memory for the Service during the three months before the event giving rise to the claim, or (b) $100.
Indemnification
You will defend, indemnify, and hold harmless Unit Memory and its owners, employees, contractors, agents, affiliates, successors, and assigns from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your Customer Data, your use of the Service, your violation of these Terms, your violation of law, or your users' actions.
Disputes, Governing Law, Venue, and Fees
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules, unless your lawyer later replaces this with a different governing law. Any dispute not resolved informally must be brought in the state or federal courts located in Oregon, and each party consents to personal jurisdiction and venue there, unless a written agreement says otherwise.
Prevailing party fees and costs. To the maximum extent permitted by law, in any dispute, claim, lawsuit, arbitration, collection action, appeal, bankruptcy proceeding, or enforcement proceeding arising out of or relating to the Service or these Terms, the prevailing party is entitled to recover from the non-prevailing party all reasonable attorneys' fees, expert fees, court costs, arbitration fees, collection costs, investigation costs, and other expenses incurred before suit, during suit, on appeal, and in enforcing any judgment or award.
Jury and class waiver. To the maximum extent permitted by law, each party waives the right to a jury trial and agrees to bring claims only on an individual basis, not as a class, collective, consolidated, or representative action.
Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page. Continued use of the Service after updated Terms are posted means you accept the updated Terms for future use.
